Debt finance raised from corporate insiders has attracted the attention of legal scholars over the past several years. Such an interest comes as no surprise. The variety of legal treatments reserved for insider loans across Europe, the United States and in other jurisdictions attests to an intriguing absence of any regulatory uniformity despite similar financing patterns. After reviewing the literature on the benefits and costs of inside debt financing and illustrating the diverse regulatory approaches adopted by prominent jurisdictions, the book reassesses the risk of opportunistic insider lending based on the state of a company's finances. In doing so, the book sheds light on the net costs associated with financially sound firms issuing senior debt, whether secured or unsecured, to their insiders and, by contrast, the net benefits of allowing insiders to make senior unsecured loans to firms that are in or near insolvency. Following the reexamination of the benefits and costs of insider lending, novel requirements are recommended for an efficient and fair legal response to inside debt as a source of funding for both solvent firms and financially-distressed ones.

In long-term contracts the topic of contingencies and corrective remedies is particularly important. The BGB (§ 313) and texts that derive from supranational bodies, such as The Principles of European Contract Law, the UNIDROIT Principles and the Draft Common Frame of Reference set out remedies in order to adapt the contract in the event of contingencies and other preconditions. Similar forms of protection are not provided for by the Italian Civil Code, whose remedies in the face of events stemming from a contingency often do not manage to meet the interest to preserve the relationship. The development of the sources highlights in particular the remedy of compensation and specific enforcement of the obligation to conclude a contract set out in art. 2932 of the Italian Civil Code, with important new features with respect to the past. After the direction taken by case law which accepts compensation for damage in the presence of a concluded and valid contract, the compensation remedy assumes the function of correcting the contract and not just upholding the economic operation. In short, what emerges from the compensation and specific protection are facts and operating techniques that justify and enable correction of a contract.

Die Arbeit greift das weitgehend ungelöste Problem auf, wie mit Belastungen der Vertragspartner des Insolvenzschuldners umzugehen ist, die beim Warten auf die Entscheidung nach § 103 InsO entstehen. Es wird geprüft, ob das Insolvenzvertragsrecht um neue Ausgleichsinstitute ergänzt werden sollte. Dabei schöpft die Verfasserin aus allen Quellen, die rechtswissenschaftlicher Arbeit zur Verfügung stehen: Rechtsgeschichte, systematische Überlegungen, Vergleiche innerhalb der Rechtsordnung und zu anderen Rechtssystemen. Ein Rückblick zeigt, dass sich die verfahrensbedingten Belastungen in den letzten Jahrzehnten intensiviert haben. Die Verfasserin erkennt das Reformbedürfnis und stellt einen Gesetzesentwurf zur Ergänzung des § 103 InsO vor.

Das bundesstaatliche Finanzausgleichssystem wurde 1995 reformiert und neu geordnet. Dieser sich über mehrere Jahre hinziehende Reformprozeß erscheint von besonderem Interesse. Erstens zeigt sein Ablauf grundsätzlich, wie polit-ökonomisch zu erklärende Interessenstrukturen der beteiligten Akteure und nicht etwa ökonomische Rationalität den Reformprozeß bestimmt haben. Zweitens ist das ökonomisch unbefriedigende Ergebnis die Ursache der erneuten Klagen der Länder Bayern, Hessen und Baden-Württemberg vor dem Bundesverfassungsgericht. Drittens dürften die Ergebnisse dieser Arbeit Antworten über den weiteren Verlauf der gegenwärtigen Reformbestrebungen des bundesstaatlichen Finanzausgleichs auf der politischen Ebene geben. Außerdem wird das Instrument der Sonder-Bundesergänzungszuweisungen zur Beseitigung der Haushaltsnotlage in Bremen und im Saarland einer theoretischen und empirischen Analyse unterzogen.

Nach einer kritischen Analyse der wichtigsten älteren und neueren Vorschläge zur Gemeindesteuerreform und einem kurzen Überblick über die Gemeindebesteuerung in vergleichbaren Ländern wird die Frage der spezifischen Begründung und der erforderlichen Eigenschaften gemeindeeigener Steuern erörtert. Das Ergebnis führt zu Vorschlägen für die Gestaltung der Gemeindesteuern, die wesentlich von denjenigen abweichen, die heute im Brennpunkt der Diskussion stehen.
